Terms of Service and Platform Use Agreement

IMPORTANT NOTICE: PLEASE READ THIS AGREEMENT CAREFULLY. THIS DOCUMENT CONSTITUTES A LEGALLY BINDING CONTRACT BETWEEN YOU AND ProSpot Technologies. BY ACCESSING, BROWSING, OR REGISTERING ON THE PLATFORM, YOU EXPRESSLY AGREE TO BE BOUND BY ALL CLAUSES, TERMS, AND DISCLAIMERS CONTAINED HEREIN. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1. Overview and Acceptance of Terms

ProSpot Technologies, operating the ProSpot platform at prospot-tt.com ("ProSpot", "the Platform", "we", "us", or "our"), operates a digital business and service directory combined with a social marketplace that lets independent local service professionals and businesses ("Service Providers") showcase work through posts, photos, and videos, and connect with customers seeking specific services ("Users"). Users and Service Providers are together referred to as "you".

By creating an account, accessing the directory, submitting a listing, posting content, sending messages, or using any feature offered via our website or applications, you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree, you are not authorized to use the Platform and must discontinue use immediately. Your affirmative acceptance at registration (clicking "I agree" or equivalent) records your assent.

2. The Nature of ProSpot Services

ProSpot operates strictly as a digital introduction, discovery, and advertising venue. We are not a Service Provider, vendor, employer, or agent, and we do not provide, perform, supervise, or control the professional services requested or rendered on the Platform. We have no control over the existence, quality, accuracy, safety, legality, or timing of any service, listing, or transaction. The contract for any professional service is formed directly between the User and the Service Provider, and any dispute or breach relating to it remains the sole responsibility of those two parties.

Consequently, ProSpot is not a party to any transaction or agreement between Users and Service Providers, and assumes no liability for the quality, safety, legality, timing, or delivery of services contracted through the venue.

3. Account Eligibility and Registration

To use the Platform or publish a listing, you must:

  • Be at least 18 years of age at the time of account creation. The Platform is not directed to, and may not be used by, persons under 18.
  • Possess the full legal capacity to enter into binding contractual agreements.
  • Ensure all profile, contact, and business information you provide is accurate, current, and true, and keep it updated.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at prospot.tt@gmail.com of any unauthorized access, security breach, or suspicious activity.

4. Service Provider Obligations & Listings

Service Providers listing on the Platform must:

  • Legal & Trade Compliance: possess all valid corporate registrations, licences, trade permits, and certifications required under the laws of Trinidad and Tobago to perform their stated activities.
  • Representation Honesty: maintain clear, accurate, and factual business descriptions, pricing, and portfolio imagery, omitting misleading statements.
  • Ownership of the Listing: only claim or manage a business you are authorized to represent. Falsely claiming another party's business, or submitting forged verification documents, is prohibited (see Section 8).

5. User-Generated Content and Licence

The Platform lets you upload, post, and share content - including photos, videos, slideshows, captions, business profiles, reviews, ratings, comments, and messages ("User Content").

5.1 You retain ownership. You keep all ownership rights in your User Content. These Terms do not transfer title to us.

5.2 Licence you grant to us. By submitting User Content, you grant ProSpot Technologies a non-exclusive, worldwide, royalty-free, transferable, and sub-licensable licence to host, store, cache, reproduce, adapt, reformat, translate, publish, publicly display and perform, and distribute your User Content, solely to operate, provide, improve, secure, and promote the Platform and its features. The sub-licence right is limited to the hosting, storage, content-delivery, and processing providers we use to run the service.

5.3 Your warranties. You represent and warrant that (a) you own or have all necessary rights, licences, and consents to your User Content and to grant the licence in 5.2; and (b) your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights, and does not breach any law.

5.4 Survival and removal. The licence in 5.2 ends when you delete your User Content or your account, except that (a) we may retain residual backup copies for a limited period, and (b) content you shared publicly (such as a review) may remain visible where it has been quoted, re-shared, or indexed by third parties. We may remove or refuse any User Content that violates these Terms.

5.5 Feedback. If you send us suggestions or feedback about the Platform, you grant us a perpetual, irrevocable, royalty-free licence to use it without restriction or obligation to you.

6. Reviews, Ratings and Business Verification

6.1 Reviews policy. Reviews and ratings must reflect your genuine, first-hand experience. You must not post fake, fabricated, incentivized/undisclosed-paid, or defamatory reviews; review your own business; post reviews for competitors to manipulate rankings; or take any action to distort the ratings/review system. We may screen, refuse, remove, or reorder reviews that violate this policy, and may filter suspected fake or manipulated reviews.

6.2 Reviews are opinions. Reviews and ratings are the opinions of the Users who post them. ProSpot does not endorse, adopt, or verify any individual review and is not responsible for their content. The reviewer bears sole responsibility for their review. Businesses may respond to reviews and may flag reviews they believe violate this policy.

6.3 "Verified" badge. A verification badge indicates only that we performed a limited identity or document check at a point in time. It is not an endorsement, and it is not a guarantee of the Service Provider's quality, competence, legitimacy, licensing, financial standing, or the safety or outcome of their services. We may grant, deny, suspend, or revoke verification at our discretion. Authority rankings and placements are likewise not recommendations by ProSpot.

7. Direct Messaging

The Platform provides direct messaging. You must not use messaging to send spam, unsolicited commercial messages, harassment, threats, or unlawful content. We reserve the right - but assume no obligation - to monitor, moderate, screen, or act on messages for safety, security, legal, or abuse-prevention purposes; we do not proactively monitor all messages. Messages are not confidential as against our safety, security, and legal processes. How message data is stored and retained is described in our Privacy Policy.

8. Platform Codes of Conduct (Acceptable Use)

All Users and Service Providers are prohibited from:

  • Posting fraudulent, malicious, or intentionally defamatory reviews, ratings, or feedback.
  • Impersonating any person or business, including falsely claiming ownership of a business profile, or submitting forged verification documents.
  • Manipulating engagement metrics - using bots, fake or purchased follows, likes, bookmarks, shares, comments, or any means to distort authority rankings.
  • Scraping, harvesting, crawling, or extracting Platform data, listings, or contact details without our prior written consent.
  • Sending spam or unsolicited bulk communications through any Platform feature.
  • Uploading material that is obscene, discriminatory, threatening, hateful, or that infringes third-party intellectual property or privacy rights.
  • Offering illegal goods or services, or engaging in fraud.
  • Disrupting, bypassing, or compromising the security infrastructure or performance of the Platform, including circumventing rate limits or technical restrictions.

9. Intellectual Property and Notice-and-Takedown

9.1 Our IP. The Platform, its software, design, trademarks, and content (other than User Content) are owned by ProSpot Technologies or its licensors and are protected by law. You may not copy, reproduce, distribute, create derivative works from, or commercially exploit them without our written permission.

9.2 Infringement notice. If you believe content on the Platform infringes your copyright or other IP rights, send a written notice to prospot.tt@gmail.com including: (a) identification of the protected work; (b) the location (URL) of the allegedly infringing content; (c) your contact details; (d) a statement that you have a good-faith belief the use is unauthorized; and (e) a statement that the information is accurate and that you are authorized to act. We will act on valid notices, including removing content and, where appropriate, terminating repeat infringers.

9.3 Counter-notice and other harms. A party whose content was removed may submit a counter-notice to the same address. You may also report content you believe is defamatory, privacy-violating, or otherwise unlawful (distinct from IP infringement) to prospot.tt@gmail.com, and we will review it.

10. Fees, Subscriptions and Paid Placements

Certain features - such as premium directory placement, visibility boosts, or subscription tiers - may require payment.

  • Disclosure & consent. Pricing, billing frequency, and what each paid feature includes will be disclosed before purchase, and you must affirmatively consent (no pre-checked boxes).
  • Auto-renewal & cancellation. Where a subscription auto-renews, this will be stated conspicuously, and you may cancel through your account at least as easily as you subscribed.
  • Refunds. Fees are non-refundable except as expressly stated at purchase or as required by applicable law.
  • Paid placement is advertising. Premium/paid placements are advertising and are distinct from organically-earned authority rankings; we will identify paid placements as such.

11. Account Suspension and Termination

We may suspend or terminate your account or access, and remove content, if you breach these Terms, act unlawfully, engage in fraud or repeat infringement, or where reasonably necessary to protect the Platform or other users. You may close your account at any time. Where feasible, we will provide a means to appeal a suspension or termination.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPOT MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS, OR ENDORSEMENTS REGARDING THE CAPABILITIES, BACKGROUND, CREDITWORTHINESS, OR PROFESSIONAL COMPETENCE OF ANY SERVICE PROVIDER, OR THE ACCURACY OF ANY LISTING, REVIEW, OR USER CONTENT. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability and Indemnification

13.1 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF TRINIDAD AND TOBAGO, PROSPOT, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY DAMAGES ARISING OUT OF YOUR INTERACTIONS, ENGAGEMENTS, OR DISPUTES WITH THIRD PARTIES FOUND THROUGH THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED TRINIDAD AND TOBAGO DOLLARS (TTD $100). YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE PLATFORM IS TO STOP USING IT.

13.2 Indemnification. You agree to indemnify, defend, and hold harmless ProSpot Technologies, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your User Content; (b) your reviews, ratings, or messages; (c) your use of the Platform; (d) your breach of these Terms; or (e) your violation of any law or third-party right (including IP, privacy, and defamation claims).

14. Third-Party Links and Services

The Platform may reference or link to third-party businesses, websites, or services. We do not control and are not responsible for them, and we are not a party to any dealing between you and any third party.

15. Governing Law and Dispute Resolution

These Terms and your relationship with ProSpot Technologies are governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago. Before commencing formal proceedings, you agree to first contact us at prospot.tt@gmail.com to attempt to resolve the dispute informally. Any legal action arising out of these Terms shall be submitted exclusively to the jurisdiction of the competent courts located within Trinidad and Tobago.

16. General

  • Changes to Terms. We may modify these Terms at any time. Material updates will be communicated by notice on the Platform or by updating the "Last Updated" date. Continued use after changes signifies acceptance.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
  • Entire Agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Platform.
  • Assignment. We may assign these Terms (for example, in a merger or asset sale); you may not assign them without our consent.
  • No Waiver. Our failure to enforce a provision is not a waiver of it.
  • Force Majeure. We are not liable for failures or delays caused by events beyond our reasonable control.
  • Notices. Legal notices to us must be sent to prospot.tt@gmail.com.
